Welcome to the US Fractional CFO Alliance Portal (“Portal”), a platform operated by US Fractional CFO Alliance Inc. (“Company,” “we,” “our,” or “us”).
These Terms of Use (“Terms”) govern your access to and use of our website, platform, services, and any associated content, tools, and technologies.
By accessing or using the Portal, you agree to be bound by these Terms and our Privacy Policy (including its Cookie Policy Appendix). If you do not agree to these Terms, please do not access or use the Portal.

Part I – General Terms of Use

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms.
By using the Portal, you represent and warrant that you meet these requirements.

2. Account Registration and Security

You may be required to create an account to access certain features. You agree to:
– Provide accurate and complete information;
– Maintain the confidentiality of your login credentials;
– Be responsible for all activity under your account;
– Notify us immediately of any unauthorized use.

We reserve the right to suspend or terminate accounts that violate these Terms.

Automatic Account Creation. When you submit a CFO request or provide your business information through our website, LinkedIn form, or another authorized channel, an account may be automatically created in our system. You will receive a notification confirming account creation and instructions for secure access. 

Account creation enables protected communication, project tracking, and document sharing within the Portal. All automatically created accounts are governed by these Terms and our Privacy Policy.

You may request deletion of your account at any time via the system or by contacting info@usfractionalcfo.com, subject to applicable record retention requirements. Upon verified user request, we will delete or anonymize personal data unless retention is required by law or legitimate business purpose. Residual data in system backups will be deleted in accordance with standard retention cycles (not exceeding 90 days).

3. Acceptable Use

You agree not to:
– Use the Portal for unlawful or fraudulent purposes;
– Interfere with or disrupt the operation of the Portal;
– Upload or transmit any viruses, malware, or harmful content;
– Attempt to gain unauthorized access to any part of the Portal;
– Reverse-engineer, decompile, or disassemble any part of the Portal.

4. Fees and Payments

Certain services may be subject to fees. Payments are processed securely through Stripe, and you agree to provide accurate payment details.

You acknowledge that Stripe’s terms and policies govern payment transactions.
All membership and Program fees are billed in advance and are non-refundable unless otherwise stated in writing.

5. Intellectual Property

All content, trademarks, and intellectual property on the Portal are the property of the Company or its licensors. 
You may not copy, reproduce, distribute, or create derivative works without express written consent, except as permitted by law.

6. Third-Party Services

The Portal may contain links or integrations with third-party platforms (e.g., Stripe, Google Analytics, LinkedIn, Facebook). 
We are not responsible for their content, policies, or practices. You are encouraged to review their terms before using those services.

7. Not a Staffing Agency, Recruiter, or Employment Service

The Alliance is not a staffing agency, employment service, recruiting firm, or placement agency.
The Alliance does not employ, supervise, manage, or control CFO Members and does not participate in employment, contracting, negotiations, pricing, or work scope between Members and Businesses.
Each Member operates independently of the Alliance and is solely responsible for the services they provide. Members are not employees, agents, partners, or joint venturers of the Alliance.

8. No Background Checks or Verification

The Alliance does not conduct background checks, identity verification, employment verification, credential validation, or other vetting of Businesses or CFO Members.

All users – both Businesses and Members – are solely responsible for performing their own due diligence before entering into any engagement or sharing confidential information.

The Alliance does not provide insurance for any users of the Portal and does not verify whether Members or Businesses maintain insurance. All parties are responsible for obtaining and maintaining their own insurance appropriate for their activities.

9. Disclaimer of Warranties

THE PORTAL IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE PORTAL WILL BE ERROR-FREE OR UNINTERRUPTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE PORTAL. IN NO EVENT SHALL THE COMPANY’S TOTAL AGGREGATE LIABILITY EXCEED THE TOTAL FEES PAID BY YOU (IF ANY) DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless the Company and its affiliates, officers, directors, and employees from any claims, liabilities, damages, losses, or expenses arising from your use of the Portal or your violation of these Terms, including but not limited to unauthorized use of data or intellectual property.

12. Termination

We reserve the right to suspend or terminate your access to the Portal at any time, with or without cause or notice.

13. Governing Law and Dispute Resolution

US Fractional CFO Alliance Inc. is a Florida-registered corporation. 
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. 
Any dispute arising under or related to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA), to take place in Fort Lauderdale, Florida. Judgment on the arbitration award may be entered in any court of competent jurisdiction. Each party shall bear its own arbitration costs and attorneys’ fees unless otherwise determined by the arbitrator.

14. Data Location and Hosting

The Portal is hosted on SOC 2–compliant U.S. data centers (via AWS/GCP infrastructure).
Our hosting vendors maintain industry-standard security and compliance controls designed to protect user data. 
Data may be stored or processed in multiple geographic regions as needed for reliability and compliance with applicable U.S. privacy laws.

In the event of a data breach affecting your personal information, we will notify affected users and authorities as required by law.

The Alliance does not store payment card data; all payments are handled securely and directly by Stripe.
User data will be retained only as necessary to comply with applicable legal, accounting, and Data Retention Policy, after which it will be deleted or anonymized. Our Data Retention Policy describes specific retention timelines and is available upon request.

You may request access to, correction of, or deletion of your personal data by contacting info@usfractionalcfo.com.

15. Modifications to Terms

We may update these Terms from time to time to reflect changes in laws, regulations, or our practices. 
The “Last Updated” date at the top of this page indicates the latest revision. 
Your continued use of the Portal after the effective date of any update constitutes your acceptance of the revised Policy.

Part II – CFO Membership Rules

17. Membership Eligibility & Enrollment

Membership is open to CFOs and CFO practices providing fractional, interim, or project-based financial leadership services. Members are responsible for providing accurate and up-to-date information at enrollment and throughout their membership.

18. Member Acceptance

Acceptance of new Members is solely at the discretion of the Alliance Administration.

Each prospective Member must demonstrate the professional qualifications and experience necessary to provide fractional CFO services, such as prior experience in CFO or other senior finance leadership roles, and proven knowledge across key areas of corporate finance, accounting, financial analysis, and strategic planning.

The Alliance reserves the right to evaluate applications based on its internal criteria and to approve or decline membership at its sole judgment.

19. Member Profiles

Members are listed in the Alliance internal database with a member profile (names and direct contact details hidden until a CFO is introduced to a Business). Members are responsible for maintaining the accuracy of their profile. Updates may be submitted at any time through the Portal.

20. Membership Certificate

Each Member receives an Electronic Membership Certificate, which may be used in marketing materials as long as the membership is active.

21. Warm Leads Program (Optional Add-On)

Only Members of the Alliance are eligible to participate in the Warm Leads Program (WLP). 

WLP participants receive preferred visibility into incoming leads, the ability to claim leads that align with their skills and availability, and exclusive access to the Business until the Business makes a go / no-go decision. 

The WLP operates under a system designed to ensure fair distribution of opportunities. The Alliance may adjust mechanics or timing as needed. Lead rotation logic and visibility are determined algorithmically and may be adjusted periodically to maintain fairness.

22. No Guarantee of Leads or Outcomes

Membership and WLP participation provide access to visibility and lead opportunities but do not guarantee any minimum number of leads, the timing of leads, or successful engagements. Members are solely responsible for their own due diligence and outcomes.

23. Due Diligence on Business Leads.

Members are solely responsible for evaluating and verifying any Business lead or opportunity obtained through the Alliance. The Alliance does not conduct background checks on Businesses and does not guarantee their credibility, payment reliability, or fitness for any engagement. Members are strongly encouraged to perform their own due diligence before entering into any agreement or sharing confidential information.

24. Insurance Requirement

The Alliance does not provide insurance for any users of the Portal and does not verify whether Members or Businesses maintain insurance. All parties are responsible for obtaining and maintaining their own insurance appropriate for their activities.

25. Standards of Conduct

Members must act professionally, ethically, and in good faith when interacting with Businesses (potential clients) and fellow Members. Misrepresentation of skills, experience, or credentials is strictly prohibited. Members must keep all Business and lead information confidential and use it only for pursuing professional engagements through the Alliance.

26. Fees & Payments

Membership is billed annually in advance and may be cancelled effective at the end of the current annual cycle. The Warm Leads Program (WLP) is billed monthly in advance and may be cancelled effective at the end of the current monthly cycle. 

Cancellations must be submitted before the start of the next billing cycle to avoid renewal. No partial refunds will be issued. 

Payments are processed via Stripe, and Members agree to comply with Stripe’s terms and policies. The Alliance may introduce additional paid or unpaid services for Members in the future, at its discretion.

27. Project Inactivity

Projects with no Member or Business activity for 30 consecutive days may be closed by the Alliance at its discretion. Closing a project does not entitle any party to a refund of fees.

28. Modifications

The Alliance may update these Rules from time to time. Material changes will be communicated via email or the Portal. Continued membership constitutes acceptance of the updated Rules.

29. Violations and Enforcement  

Violation of these Rules, misuse of the Platform, or engagement in any conduct that may harm the reputation, integrity, or lawful operation of the US Fractional CFO Alliance Inc. (the “Alliance”) may result in actions including, but not limited to, suspension, restriction, or termination of access or membership.

Such actions may be taken with or without prior notice, depending on the severity and circumstances of the violation. Examples of violations include, but are not limited to:

  • Providing false, misleading, or incomplete information;
  • Using the Platform for purposes unrelated to the intended CFO–Business matching process, such as solicitation or recruitment;
  • Sharing or misusing confidential data obtained through the Alliance;
  • Engaging in conduct, communication, or public representation that could negatively affect the Alliance’s reputation or the integrity of its member network.

Termination or suspension of membership or access, whether for rule violations or conduct harmful to the Alliance, does not entitle the user to any refund, credit, or compensation for fees already paid.

Following termination, the Alliance has no obligation to maintain, transfer, or return any project data or communications, except as required by applicable law.

The Alliance reserves the right to pursue any legal or equitable remedies available under applicable law in cases involving fraud, abuse, or intentional misconduct.

Part III – Business Participation Rules 

30. Eligibility & Use

The Platform is intended for U.S.-based businesses seeking fractional, interim, or project-based CFO services through direct introductions. ‘Businesses’ are defined as potential clients of CFO Members participating in the Alliance. By using the Platform, you represent that you are a Business user and not an agency, recruiter, or other third party. Any use of the Platform inconsistent with its intended purpose or in violation of these Rules may result in termination of access.

31. CFO Requests & Introductions

When you submit a CFO request, either through the Portal, or via LinkedIn, or via other approved source, you create a project within the system. For security and tracking purposes, an account may be automatically created, and you will receive an email confirming account access and instructions to reset your password. 

Each submitted CFO request is subject to moderation before being shared with CFO Members. A moderator may review and edit the free-text portion of the request to remove identifiable personal or company information, confidential data, or any inappropriate, irrelevant, or promotional content. Such moderation is performed solely to ensure the professionalism, privacy, and suitability of requests published through the Platform.

The Alliance will provide one recommended CFO Member for the initial introduction. If the recommendation is not a fit, you may be given access to view additional Member profiles. The Alliance reserves the right to limit the number of profiles or introductions based on internal criteria. 

You are not required to engage any CFO introduced through the Platform. If you choose not to proceed, please notify the CFO directly to maintain professional courtesy. 

32. Due Diligence on CFOs

We encourage Businesses to evaluate candidates carefully. The Alliance does not conduct background checks and does not guarantee the qualifications, credentials, or results of any Member’s work. It is highly recommended that each Business performs their own due diligence before entering into any agreement or sharing confidential information.

The Alliance does not participate in pricing, negotiation, or contract terms between Businesses and CFO Members.

33. Insurance Responsibility

The Alliance does not provide or verify insurance coverage for CFO Members. Businesses are solely responsible for requesting, reviewing, and confirming any insurance requirements directly with the CFO they choose to engage.

34. No Guarantee of Availability

The Alliance does not guarantee the availability of any specific CFO Member or that any introduction will result in an engagement. CFO Members may decline opportunities at their discretion, including for reasons of scope, timing, or fit.

35. Conduct & Confidentiality

All users are expected to interact respectfully and professionally with CFO Members and Alliance representatives. Information shared through the Platform, including CFO profiles or communications, is considered confidential and may be used solely for the purpose of evaluating or engaging with a CFO. You agree not to share, reproduce, or distribute any materials or communications obtained through the Platform without prior written consent from the Alliance or the CFO concerned. You are responsible for maintaining the confidentiality of any login credentials or access links associated with your account.

36. Fees & Payments

At present, the Alliance provides introductions to Businesses at no cost. The Alliance reserves the right to introduce paid services, premium features, or administrative fees in the future.

37. Project Inactivity

If a project remains inactive (no Business or CFO Member activity) for 30 consecutive days, the Alliance may close or archive it at its discretion. The Alliance is not required to notify participants before closing an inactive project.

38. Modifications

The Alliance reserves the right to modify these Rules at any time. Material changes will be posted on the Portal and will apply prospectively. All modifications take effect upon posting unless otherwise stated.

39. Data & Security

The Platform is hosted on secure cloud infrastructure maintained by reputable US-based providers who follow industry security and privacy standards. While the Alliance implements reasonable technical and organizational safeguards to protect data, no system is entirely immune to security risks. By using the Platform, Businesses agree to implement appropriate internal controls to protect their access credentials and any data shared through the system.

40. Violations and Enforcement
